We offer extensive experience and expertise in the resolution of contractual disputes, whether related to agreements for the supply of goods and services; a distribution agreement; share purchase agreements; franchise agreements; the enforceability of restrictive covenants; or any other kind of commercial agreement including those of a high value and complex nature.
Our lawyers are often asked to advise upon the correct interpretation of contractual clauses and provide advice and guidance on the enforcement of the same. They regularly advise on the disputes that can arise from contracts including those relating to the payment terms, the nature of the goods or services provided and their compliance with the terms of the contract and in relation to contract termination. Once we have carried out an initial review of the contract and the correspondence relevant to the dispute, we can then advise on any potential claim or defence and how best to navigate our client to its desired outcome.
We also advise on disputes arising from the sale of businesses including claims for breach of warranty and issues relating to deferred or additional consideration post-completion.

Key contract dispute cases
- Acting in injunctive proceedings for a firm of independent financial advisors involving breaches of post-termination restrictive covenants by a number of consultants who had resigned taking confidential lists of client data and used that information at a competitor company.
- Acting for a global childrenswear company in the recovery of outstanding sums due from one of its franchise partners following an alleged breach of the master franchise agreement, brand licence and service agreement.

Early resolution via negotiation or mediation
